Legal Agreement

These Terms and Conditions constitute a legally binding agreement between you (the "Client") and Nusantara Steril (the "Company") regarding the provision of professional cleaning services for maritime and logistics facilities. By engaging our services or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

Client Obligations and Responsibilities

1. Facility Access and Safety

  • Clients must provide safe, timely access to facilities requiring cleaning services during agreed-upon service hours
  • Clients are responsible for informing us of any hazardous conditions, restricted areas, or special safety requirements at their facilities
  • Clients must ensure compliance with all applicable port security, maritime safety, and facility access regulations
  • Clients shall provide necessary facility maps, operational schedules, and contact information for coordination

2. Accurate Information

Clients must provide complete and accurate information about their facility type, operational schedule, specific cleaning requirements, and any special conditions that may affect service delivery. Changes to facility operations or requirements must be communicated promptly.

3. Payment Obligations

Clients agree to pay all fees as specified in the service agreement within the agreed payment terms. Late payments may result in service suspension and additional charges as permitted by Indonesian law. Clients are responsible for any bank fees or transaction costs associated with payment processing.

4. Cooperation and Communication

Clients must maintain open communication with our operations team, promptly respond to inquiries or notifications, and cooperate with our personnel to ensure effective service delivery. Clients should designate a primary contact person for coordination purposes.

5. Legal Compliance

Clients must ensure their facilities comply with all applicable Indonesian laws, regulations, and industry standards. Clients are responsible for obtaining any necessary permits or approvals required for our personnel to access and work within their facilities.

Prohibited Activities and Conduct

Clients and facility users must not:

  • Interfere with, obstruct, or impede our personnel while performing cleaning services
  • Request our personnel to perform tasks outside the scope of the service agreement or that violate safety regulations
  • Engage in any conduct that creates an unsafe or hostile work environment for our staff
  • Attempt to hire or solicit our employees for direct employment during the term of the service agreement and for six months thereafter
  • Use our services for any illegal purpose or in violation of applicable regulations

Service Scope and Limitations

1. Service Specifications

The specific services to be provided, including scope, frequency, and performance standards, will be detailed in individual service agreements. Services may vary based on facility type, operational requirements, and contractual terms.

2. Service Modifications

We reserve the right to modify service delivery methods, schedules, or personnel assignments as necessary to maintain service quality or respond to operational requirements. Material changes will be communicated to clients in advance when possible.

3. Service Interruptions

Services may be temporarily interrupted due to facility emergencies, safety concerns, extreme weather conditions, labor disputes, or other circumstances beyond our reasonable control. We will endeavor to minimize such interruptions and reschedule services when appropriate.

4. Geographic Limitations

Our services are primarily available for facilities within Indonesia's major maritime and logistics centers. Service availability for remote locations or specialized facilities will be determined on a case-by-case basis.

Liability Limitations and Warranties

Disclaimer of Warranties

While we strive to provide high-quality cleaning services, we make no warranties regarding specific outcomes or results. Services are provided on an "as is" basis to the extent permitted by Indonesian law.

We do not guarantee that our services will prevent all contamination, damage, or operational issues at client facilities. The effectiveness of cleaning services may be influenced by factors beyond our control, including facility conditions, operational practices, and environmental factors.

Limitation of Liability

To the maximum extent permitted by Indonesian law:

  • Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for services during the three months preceding the claim
  • We are not liable for indirect, consequential, special, incidental, or punitive damages, including lost profits or business interruption
  • We are not responsible for damage to property resulting from pre-existing conditions, concealed defects, or client negligence
  • Claims must be reported to us within 48 hours of the alleged incident or they may be deemed waived

Insurance Coverage

We maintain appropriate insurance coverage for our operations. However, clients are responsible for maintaining their own property and liability insurance for their facilities.

Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, acts of government, labor disputes, pandemics, or other force majeure events.

Indemnification

Clients agree to indemnify and hold harmless Nusantara Steril, its employees, contractors, and partners from claims, damages, losses, or expenses arising from client negligence, facility hazards not disclosed to us, client violations of applicable laws or regulations, or misuse of our services. This indemnification obligation survives the termination of the service agreement.

Privacy and Confidentiality

1. Data Protection

We collect and process client information in accordance with our Privacy Policy and applicable Indonesian data protection laws. Clients consent to such processing when engaging our services.

2. Business Confidentiality

We maintain confidentiality regarding client business information, facility layouts, and operational details encountered during service delivery. Our personnel are bound by confidentiality obligations. However, we may disclose information as required by law or to protect our legal rights.

Legal Information and Dispute Resolution

1. Governing Law

These Terms and Conditions and all service agreements are governed by and construed in accordance with the laws of the Republic of Indonesia. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

2. Jurisdiction

Any disputes arising from or relating to these Terms, service agreements, or our services shall be subject to the exclusive jurisdiction of the courts of Jakarta, Indonesia.

3. Dispute Resolution Process

Before initiating formal legal proceedings, parties agree to attempt good faith negotiation to resolve disputes. If negotiation fails within 30 days, either party may pursue resolution through Indonesian courts.

4. Severability

If any provision of these Terms and Conditions is deemed invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

5. Entire Agreement

These Terms and Conditions, together with individual service agreements and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior understandings or agreements.

Contract Duration and Termination

1. Service Agreements

Individual service agreements will specify the contract duration, renewal terms, and pricing. Contracts may be structured as ongoing service agreements or project-based arrangements.

2. Termination Rights

Either party may terminate a service agreement with written notice as specified in the individual contract. We reserve the right to terminate services immediately for non-payment, safety violations, or material breach of these Terms.

3. Obligations Upon Termination

Upon termination, clients remain responsible for payment of all services rendered prior to the termination date. We will return any client property in our possession and cease accessing client facilities, except as necessary to retrieve our equipment.

Modifications to Terms and Conditions

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website or notification to clients. Continued use of our services after such changes constitutes acceptance of the modified Terms. For existing service agreements, material changes will be communicated with reasonable advance notice.

Age and Authority Requirements

Our services are intended for business entities and individuals with legal authority to enter into binding contracts under Indonesian law. By engaging our services, you represent that you have the necessary authority to bind your organization to these Terms and Conditions.
